Since the warrants and information that the counterpart provides you with are usually not enough to guarantee that the non existence of hidden contingencies and liabilities, a previous (corporate) due diligence is highly recommendable before you decide to invest in a company.
To this effect, we have created and implemented a comprehensive procedure that analyses the administrative, tax, financial and accounting aspects of the entity´s previous and current operations.
The following list details the main contents of our Firm´s corporate due diligence:
- Corporate documents of the Matrix Company and its subsidiaries:
- Incorporation articles, modifications, stockholders assemblies and board of directors meetings.
- List of places where the company operates and/or has assets and/or operations.
- Relevant information that has been provided to the shareholders in the last 2 years.
- Certificates, declarations and receipts of payments and/or pending debts.
- Emission of debts, titles, stock and guarantees:
- Copies of shares, stock certificates, verification of share ownership registration.
- Partners´ information and percentages of ownership.
- Shareholders and operations agreements, proxies, powers of attorney.
- Agreements involving the corporate stock.
- Agreements, guarantees and/or indemnification contracts granted by or amongst directors and/or shareholders.
- Contracts:
- List of persons and entities with which the company has commercial relations.
- Credit, debit, mortgage, lease and labor agreements.
- Relevant internal communications.
- List of main clients and suppliers.
- Litigation:
- Pending or past proceedings in which the company or its assets have been involved.
- Settlement agreements.
- Employees and labor relationships:
- List of active labor agreements.
- Disciplinary actions.
- Labor disputes.
- Settlement agreements, dismissals and liquidations.
